Business terms
Information for businesses; the German wording of the legal documents governs.
Provider and customer scope
These terms apply to contracts between AVOG UG (haftungsbeschränkt), Schulstraße 15, 95444 Bayreuth, Germany, trading under the Vergivo brand, and businesses within the meaning of Section 14 BGB, legal entities under public law, or special funds under public law. We do not offer contracts to consumers. Customer terms apply only after our express agreement in text form.
Subject matter and role of Vergivo
Vergivo is an independent information, research, selection, structuring, and intermediary service. We are not the contracting authority or a public body, bidder, authorised representative of the customer, or supplier for a later public contract. A contract for construction work, supplies, or services is formed exclusively between the contracting authority and the selected company.
What the service may include
Depending on an individual agreement, the service may include searching and filtering published procedures, structuring source materials, an unverified translation of selected passages, reminders about deadlines and documents, and administrative support only within the agreed scope. The individual contract determines the sources, frequency, language, and deliverables.
No legal advice or guarantee of outcome
The service does not replace legal, tax, grant, procurement, financial, or business advice. We do not perform a final assessment of legality, eligibility, exclusion grounds, economic viability, or feasibility. We do not guarantee the completeness of external sources, admission to a procedure, selection, an award, turnover, profit, or any specific number of opportunities.
Current original documents prevail
Information from external publications may be corrected, changed, extended, or cancelled. The current notice, complete procurement documents, communications from the contracting authority, and its designated submission channel always prevail. Translations, summaries, matching, and reminders are for orientation only and do not replace the customer’s own professional and legal review.
Contract formation and scope of performance
Our offers are non-binding. A contract is formed by accepting an individual offer, confirming an order, or jointly starting a service expressly ordered. Scope, sources, profile, frequency, language, remuneration, cooperation duties, and term follow from the individual contract. Activities not expressly agreed are not owed.
Cooperation and customer responsibility
The customer provides correct, current, and complete information and assesses every recommendation independently. The customer is responsible in particular for the participation decision, eligibility, references, documents, permits, capacity, calculation, prices, taxes, employment and social law, export and sanctions rules, insurance, data protection, and timely and formally correct approval and submission of an offer. Material changes to information or deadlines must be reported without delay.
Communication and representation
A question, statement, offer, or other legal act in the customer’s name is made only on the basis of a separate agreement and, where required, a valid power of attorney. Without these prerequisites, we do not make legally binding statements for the customer. Final approval and submission remain with the customer unless expressly agreed otherwise to the extent permitted.
Prices, invoicing, and success fee
Prices are stated without statutory VAT unless the offer provides otherwise. Subscriptions, basic remuneration, one-off services, and success fees are governed by the offer and individual contract. A success fee becomes due only upon the event, according to the basis, and within the period clearly specified there. Partial orders, extensions, options, framework call-offs, affiliated companies, or circumvention are counted only if the contract expressly provides for this. Invoices are payable within the agreed period without deduction.
Term, termination, and adjustments
The term and ordinary termination are governed by the individual contract. Each party retains the right to terminate for good cause. We may adapt sources, processes, and working methods to technical or legal developments provided that this does not unreasonably restrict the agreed principal performance.
Availability and force majeure
Maintenance, outages of external portals or networks, action by authorities, cyberattacks, and other events beyond our control may restrict the service. If we are not responsible for such disruption, we are released from the affected obligation for its duration. Deadlines set by the contracting authority are not extended by this.
Rights in content
Rights in the website, database structure, texts, design, our own images, and methods remain with the relevant rights holders. The customer receives a simple, non-transferable right to use individually delivered results internally for business purposes unless the individual contract provides otherwise. The customer warrants that the customer holds the necessary rights to submitted content and will observe the terms of external sources.
Confidentiality and data protection
Both parties protect information that is evidently confidential to a reasonable extent and use it only to perform the contract. Statutory disclosure duties remain unaffected. We process personal data under the privacy notice and, where applicable, a separate data processing agreement. Do not provide special categories of personal data unless they are necessary and expressly agreed in advance.
Liability
We are liable without limitation for intent and gross negligence, culpable injury to life, body, or health, under product liability law, for fraudulent concealment of a defect, and within the scope of an expressly given guarantee. In cases of slight negligence involving a material contractual obligation, liability is limited to typical damage foreseeable at the time of contract formation. In all other respects, liability for slight negligence is excluded; mandatory statutory liability remains unaffected.
Indemnification for third-party claims
The customer will indemnify us to a reasonable extent against third-party claims arising from unlawful, false, or insufficiently authorised content or conduct of the customer where the customer is responsible for the violation. We will inform the customer without undue delay and allow reasonable participation in the defence.
Set-off, retention, and assignment
The customer may set off only undisputed or finally adjudicated claims. A right of retention applies only to the same contractual relationship. Assignment of a claim requires our consent unless mandatory law provides otherwise; Section 354a HGB remains unaffected.
German law, jurisdiction, and final provisions
The law of the Federal Republic of Germany applies, excluding the United Nations Convention on Contracts for the International Sale of Goods and, to the extent permissible, conflict-of-law rules. If the customer is a merchant, legal entity under public law, or special fund under public law, Bayreuth is the exclusive place of jurisdiction for disputes arising from or in connection with the contract; the same applies in other cases under Section 38 ZPO. Mandatory exclusive jurisdictions remain unaffected. Individual agreements prevail, invalidity of one provision does not affect the others, and German is the contractual language. Translations are provided for understanding; the German version prevails. Status: 27 August 2026.
